License Agreement for Navitel Navigator
Dear customer,
please read this End User License Agreement carefully.
END-USER LICENSE AGREEMENT FOR THE “NAVITEL NAVIGATOR” NAVIGATION SYSTEM
This Agreement is a legally binding contract entered into between you (a natural or legal person), hereinafter referred to as the "User", and NAVITEL s.r.o., registered in the Czech Republic, with its registered office at Na Strži 1702/65, 140 00 Prague, Company ID No. 24659991, Tax ID No. CZ24659991 ("Licensor" or "NAVITEL") regarding the use of the "Navitel Navigator" navigation system software product (hereinafter referred to as the "Software Product"). The Software Product includes the "Navitel Navigator" navigation map application (hereinafter referred to as the "Navigation System"), a digital map (hereinafter referred to as the "Digital Product"), and accompanying documentation in printed or electronic form. The Digital Product may be acquired: (i) together with the Navigation System as an integral part of the Software Product, or (ii) separately with the option of use with an already acquired Software Product.
This Agreement also applies to all updates, additions, and additional components of the Software Product that ensure its functionality. NAVITEL owns all rights to the Software Product with the following provisions: exclusive copyrights to cartographic materials and/or their individual parts are owned by their respective owners in accordance with the copyright protection provisions stated in each copy of the Software Product. A complete list of rights holders can be found in the COPYRIGHT section.
NAVITEL has the exclusive right to distribute the Software Product.
The Software Product as a whole and all its individual components (including, but not limited to, cartographic materials, databases, graphics, video, audio recordings, text, and other programs) are subject to copyright and are protected by Russian and international laws. By installing, copying, downloading, providing access, or otherwise using the aforementioned software, you agree to the terms of this Agreement. This End User License Agreement shall come into effect upon your acceptance of it. If you do not agree to any of the terms of this Agreement, do not install or use the Software Product.
END-USER LICENSE AGREEMENT
The Software Product (including printed materials) is provided to you under the terms of the Agreement and IS NOT INTENDED FOR SALE.
1. SUBJECT OF THE AGREEMENT
1.1. NAVITEL grants you a non-exclusive limited license, i.e., the right to use the Software Product only in the manner and in accordance with the terms specified below (hereinafter referred to as the "License").
1.2. All terms specified below apply to the Software Product as a whole, as well as to all its components.
2. INTELLECTUAL PROPERTY
2.1. Intellectual property rights to the Software Product (including, but not limited to, any databases, graphic displays, photographs, videos, audios, and textual materials, accompanying materials in printed or electronic form, and any copies of the Software Product) are owned by NAVITEL and its partners. All intellectual property rights and copyrights to databases and other content to which the Software Product provides access are owned by the owners of the intellectual and copyrights to these databases and content and are protected by laws and other legal regulations valid in the territory of the Russian Federation, as well as international legal norms for intellectual property. This Agreement does not grant you any rights to any access to the content of the Software Product.
2.2. A non-exclusive limited license for the use of the Software Product for private non-commercial purposes is provided to the User in the ways specified above, provided that the conditions specified below are met.
2.3. NAVITEL grants no other rights except those explicitly stated in this license agreement.
3. TERMS OF USE
3.1. The Software Product may be transferred for a fee as part of a device or bundled with a device and pre-installed on it. If the User receives the Software Product installed in a device system or with a device, the Software Product is licensed as a single complex product together with the device and may only be used with the device of which it is a part or with which it was provided.
The User may transfer all rights granted by this license agreement to another person, but only in the case of a simultaneous transfer of the device for a fee and provided that the User does not retain any components and copies of the Software Product and the recipient of the Software Product undertakes to comply with the terms of this Agreement.
3.2. The Software Product may be transferred for a fee as not pre-installed or separately from the device. If the User receives the Software Product separately from the device, the User has the right to transfer the rights granted to him by this Agreement, components and copies of the Software Product to another person, provided that the User does not retain any components or copies of the Software Product and the recipient of the Software Product undertakes to comply with the terms of this Agreement.
3.3. Scope of the license. This Agreement grants the User the right to reproduce the Software Product in object code form by writing it to the device's memory for the purpose of inputting commands for this Software Product to the central processor. The User may not use or store this Software Product on more than one device (in installed or uninstalled form).
3.4. The use of the Digital Product, which is part of the Software Product, is permitted only with the navigation system included in the Software Product, and not in any other way. The Digital Product acquired separately works only with one Software Product (i.e., "tailored" with one unique license key for the Software Product).
According to this agreement, a license key is a unique code that confirms the user's right to use the given software and/or digital product or to update the product in the quantity and under the conditions specified in the license key sales agreement and this license agreement. The license key serves to identify the user's rights in NAVITEL's automation systems and in dealings with technical support.
3.5. The User has the right to contact NAVITEL's technical support service to restore a lost or damaged copy of the Software Product. At the same time, the User must provide confirmation of legal use of the copy of the Software Product.
3.6. Distribution on two types of data carriers. In the event that the Software Product is distributed on two or more types of data carriers, the User is entitled to use only one set that is most suitable for them. All carriers that are part of one copy of the Software Product are considered to be the same copy of the Software Product and may only be used by the User on the same device.
3.7. The User has the right to acquire only 1 (one) copy of the Software Product, which may be used exclusively for backup or archival purposes.
3.8. The User undertakes not to perform independently and not to provide the possibility for other natural or legal persons to perform the following activities:
- use the Software Product directly for profit;
- sell, lease or provide the Software Product for short-term use;
- use the Software Product to provide network services, including translation on websites, on both a commercial and non-commercial basis;
- create conditions for the use of the Software Product for persons who do not have the relevant rights to use the given product (including those who use the same network or share a multi-user system with you), provide a license for the Software Product;
- publish any parts and components of the Software Product, including allowing third parties to copy it;
- exceed the technical limitations stated in the Software Product;
- perform direct access to the Digital Product data, examine the structure and format of Digital Product data storage, change the structure of Digital Product data storage, change data that are part of the Software Product, modify (convert) and adapt the Software Product, disassemble, decompile the program (transform object code into source text), databases and other components of the Software Product;
- make any changes to the source code of the program or database, with the exception of those made using means that are part of the Software Product and are described in the accompanying materials;
- transfer the right to use the Software Product to third parties, except in cases specified in paragraphs 3.1 and 3.2 of this Agreement, provided the conditions specified in these paragraphs are met;
- perform any activities with the Software Product that are contrary to the laws and other legal acts valid in the territory of the Russian Federation and international law norms that have been adopted for the legal protection of computer software and databases;
- use the Digital Product with other programs except for the Navigation System.
3.9. In the event that the User commits any of the activities listed in paragraph 3.8, NAVITEL reserves the right to unilaterally and at any time terminate this agreement without prior notice or warning.
3.10. The User alone bears responsibility for all risks associated with the use of the Software Product.
3.11. Activating the license key for the Software Product is a legitimate procedure confirming the User's authorized use of the Software Product.
3.12. Deactivation of the license key for a copy of the Software Product is allowed only once (for any reason). It is not possible to deactivate the license key for a copy of a Digital Product acquired separately. Re-activation of the license key is allowed only on devices of the same model with the same official operating system. 3.13. PLEASE NOTE that NAVITEL provides technical support only for official versions of the Software Product and its updates released by NAVITEL within 1 (one) year after purchase.
The use of versions of the Navigation System, Digital Products, and their updates developed/modified by various communities and/or individuals may render the Software Product partially or entirely non-functional, as well as lead to device damage that will require repair. The User then bears the risk and responsibility for their use.
4. UPDATES
4.1. To use software that, according to NAVITEL, falls into the update category, it is necessary to have a license for the Software Product that is designated by NAVITEL as subject to update. An update supplements or replaces, in full or in part, the Software Product from which the rights for receiving the update derive. When installing an update on a device, you have the right to use the update only in accordance with the terms of this Agreement or the license agreement governing the update.
4.2. After installing an update, it will no longer be possible to use the original version of the Software Product, except in cases where the update is part of the software.
4.3. NAVITEL, as well as its suppliers and partners, assumes no expressed or implied obligations for the creation or distribution of updates to the Software Product or any of its components, including the Digital Product.
4.4. NAVITEL reserves the right to announce both free and paid updates to the Software Product and its components.
5. "NOT FOR RESALE" SOFTWARE
5.1. If the Software Product is marked as "Not for resale" or "NFR", this license, irrespective of other terms of this Agreement, permits the use of this Software Product only for the purposes of demonstration, testing, and evaluation of the Software Product; any sale or transfer of the Software Product is prohibited.
6. CONSENT TO DATA PROCESSING
6.1. By activating the Software Product, the User agrees that NAVITEL may collect and use any technical information obtained during the provision of technical support for the Software Product to the User. NAVITEL may use this information to improve the quality of its products, for marketing and advertising purposes. NAVITEL may not publish or disclose the user's personal data.
7. TERMINATION OF THE AGREEMENT
7.1. Without prejudice to any rights arising from this Agreement, in case of non-compliance with the terms or restrictions set forth in this Agreement, NAVITEL reserves the right to terminate this agreement.
7.2. In the event of termination of this license agreement, you are obliged to destroy all copies of the Software Product that you possess (including any components of the Software Product on any media, its updates, this Agreement, and accompanying materials).
8. LIABILITY
8.1. Use, dissemination, and reproduction (copying) of the Software Product and any of its components in violation of the terms of this Agreement and any infringement of the exclusive rights of the owner will be prosecuted under the relevant applicable regulations.
8.1.1. The governing law by which matters of this Agreement shall be decided is the law of the Russian Federation.
8.2. In case of violation of the rights and obligations stated in this agreement, the User loses the right to use this Software Product and the right to a limited warranty according to Article 9 below.
9. LIMITED WARRANTY
9.1. NAVITEL guarantees the functionality of the programs that are part of the Software Product, provided that the conditions specified in the documentation supplied with the Software Product are met.
9.2. The Software Product is supplied in its actual form and with corresponding characteristics. NAVITEL is not responsible for the Software Product not meeting the User's expectations and ideas, and/or standards not described in the specifications and accompanying documentation, and which may contain errors. NAVITEL is also not responsible for the direct and indirect consequences of using the Software Product, including consequences arising from possible errors or typographical errors in the accompanying documentation for this Software Product.
9.2.1. PLEASE NOTE that the period of use of the Digital Product (as part of the Software Product) is limited. Information about the Digital Product as part of the Software Product, as well as its period of use, is available immediately after activating the Software Product.
9.2.2. NAVITEL guarantees the compatibility of the Software Product in accordance with the description in the user manual and this Agreement.
9.2.3. NAVITEL does not guarantee the compatibility of the Software Product in case of non-compliance with the conditions described in the user manual, as well as in case of violation of the terms of this Agreement.
9.3. NAVITEL does not guarantee the quality of compatibility of the Software Product with third-party software and hardware and organizations, nor with the software and hardware of individual users, if, at the time of purchase by the User, it is not an integrated product of computer software, particularly with devices and equipment that are newer than the current version of the given Software Product.
The User agrees to the terms of this Agreement and acknowledges that in the event of incompatibility of the Software Product version with the hardware/device settings, the company "NAVITEL" bears no responsibility.
10. RETURN OF SOFTWARE PRODUCT
10.1. By accepting the terms of this Agreement and activating the license key for the Software Product, you also agree to the "Terms of Refund for Purchased Software". For more information on returns, please visit the official NAVITEL website: https://navitel.cz.
